Terms of Service

1. Agreement to Terms
By accessing or using UnicornCRM's practice management software and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and UnicornCRM Inc. ("UnicornCRM", "we", "us", or "our"), a corporation incorporated under the laws of Ontario, Canada.
2. Eligibility
The Service is intended for use by licensed healthcare practitioners and their authorized staff. By using the Service, you represent that you:
- Are at least 18 years of age
- Have the legal authority to enter into this agreement
- Are a licensed healthcare practitioner or authorized representative of a healthcare practice
- Will use the Service in compliance with all applicable laws and regulations
3. Account Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Healthcare Information and PHIPA Compliance
You acknowledge that you are the "health information custodian" as defined under the Personal Health Information Protection Act (PHIPA) for any personal health information you store in the Service. You are responsible for:
- Obtaining appropriate consents from your clients
- Using the Service in compliance with PHIPA, PIPEDA, and other applicable privacy legislation
- Maintaining appropriate safeguards for health information
- Reporting any privacy breaches as required by law
We act as your agent and service provider for the purposes of processing health information and agree to comply with the security and confidentiality requirements of applicable privacy legislation.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Attempt to gain unauthorized access to any part of the Service or related systems
- Interfere with or disrupt the Service
- Upload malicious code or content
- Use the Service to store information unrelated to your healthcare practice
6. Subscription and Payment
Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
You agree to pay all fees associated with your subscription. Fees are non-refundable except as expressly stated in these Terms or required by law.
We reserve the right to change our fees upon 30 days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
7. Data Ownership and Portability
You retain all rights to your data stored in the Service. We do not claim ownership of your client records or practice information.
Upon request or termination, we will provide you with a copy of your data in a standard, machine-readable format within 30 days.
8. Service Availability
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and may suspend the Service for maintenance, updates, or circumstances beyond our control.
We will provide reasonable notice of scheduled maintenance when possible.
9. Limitation of Liability
To the maximum extent permitted by law, UnicornCRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless UnicornCRM and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or related to your use of the Service or violation of these Terms.
11. Termination
You may terminate your account at any time by contacting us. We may terminate or suspend your account for violation of these Terms or for any other reason with reasonable notice.
Upon termination, your right to use the Service will immediately cease. We will retain your data for 90 days to allow for data export, after which it will be securely deleted unless longer retention is required by law.
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
